Cognometrist Terms of Service

These Terms of Service govern your use of Cognometrist, including its website, applications, learning tools, and related services (collectively, the “Services”). They form an agreement between you and the operator of Cognometrist (“Cognometrist,” “we,” “us,” or “our”). By creating an account or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

Our Privacy Policy and Data-Use Notice explain how we handle personal and learning data. They are important information, even though they are not incorporated into these Terms. Questions about these Terms can be sent to support@latentintuition.com.

Who may use Cognometrist

Minimum age

You must be at least 13 years old, or the minimum age required in your country to consent to use the Services. If you are under 18, you must have permission from a parent or legal guardian.

Registration and account security

You must provide accurate, complete information when creating an account and keep it current. Do not share your credentials or make your account available to another person. You are responsible for activity under your account. If you use the Services for another person or organization, you represent that you have authority to accept these Terms for them.

Using the Services

Permission to use

Subject to these Terms and applicable law, Cognometrist gives you a limited, personal, non-exclusive, non-transferable right to access and use the Services for learning. We may publish additional product, safety, or community rules. Those rules are part of your agreement with us when they apply.

Prohibited uses

You may not use the Services for illegal, harmful, or abusive activity.

Third-party services

The Services may rely on third-party providers, including identity, payment, storage, and artificial-intelligence providers. Their services and any third-party output are subject to their own terms. We are not responsible for third-party services or output.

Feedback

If you send feedback, suggestions, or ideas, you allow us to use them without restriction or compensation to you.

Your content and AI-generated output

Your content

You may submit files, notes, questions, answers, and other material (“Input”). The Services may generate lessons, questions, feedback, summaries, and other material (“Output”). Input and Output together are “Content.” You are responsible for your Content, including ensuring that you have all rights, licenses, and permissions needed to submit Input and that it complies with these Terms and applicable law.

Ownership

As between you and Cognometrist, you retain any rights you have in your Input. Subject to applicable law and these Terms, you may use Output generated for you. Because AI systems can produce similar results for different people, Output may not be unique and other users may receive similar output. We retain all rights in the Services, including the software, branding, and underlying systems.

Our use of Content

We may process Content to provide, secure, maintain, and improve the Services; personalize learning; prevent abuse; comply with law; and enforce these Terms. See the Data-Use Notice for controls relating to learning data and any available training preference.

Accuracy and appropriate use

Artificial intelligence is probabilistic. Output can be incomplete, incorrect, misleading, or offensive, and may not reflect the views of Cognometrist or any third party. You must evaluate Output for accuracy and suitability before relying on, sharing, or acting on it. Do not use Output as the sole basis for medical, legal, financial, employment, educational-admissions, housing, insurance, credit, or other decisions that could materially affect a person. The Services are educational tools and are not professional advice.

Paid plans and billing

Some features require a paid plan. If you purchase one, you must provide accurate billing information and a valid payment method. We may charge your payment method at each agreed renewal period until you cancel. You are responsible for applicable taxes. If payment fails, we may restrict, downgrade, or suspend access until it is resolved.

You may cancel a paid plan at any time through the available billing flow. Cancelling stops future renewals: your plan remains active until the end of the billing period you have already paid for, and then your account returns to the free plan. Deleting your account also stops future renewals, though deletion of the account itself takes effect immediately. Except where required by law, payments are non-refundable, and no refund — whether full or prorated — is given for the remainder of a paid period after you cancel a plan or delete your account. We may change prices with at least 30 days’ notice before a material increase takes effect at your next renewal. Plan limits may be based on estimated service cost, not just the number of requests.

Suspension, termination, and discontinuation

You may stop using the Services at any time. We may suspend or terminate access, remove Content, or delete an account if we reasonably believe that you violated these Terms or applicable law, your use creates risk or harm to us or others, or we must do so to comply with law. We may also close an unpaid account that has been inactive for more than one year after providing notice where reasonably practicable.

If you believe an action was mistaken, contact us at support@latentintuition.com. We may discontinue all or part of the Services. Where required by law, we will provide advance notice and any required refund for unused, prepaid service.

Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” COGNOMETRIST AND ITS PROVIDERS DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SATISFACTORY QUALITY, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, AVAILABILITY, SECURITY, AND ERROR-FREE OPERATION. WE DO NOT GUARANTEE THAT CONTENT WILL BE SECURE, AVAILABLE, OR FREE FROM LOSS OR ALTERATION.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COGNOMETRIST, ITS AFFILIATES, LICENSORS, SUPPLIERS, AND DISTRIBUTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, GOODWILL, USE, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID FOR THE SERVICE GIVING RISE TO THE CLAIM IN THE 12 MONTHS BEFORE THE CLAIM OR ONE HUNDRED U.S. DOLLARS ($100). Some places do not allow certain limitations, so these limits apply only to the extent permitted where you live.

Indemnity

If you use the Services on behalf of a business or organization, to the extent permitted by law you will indemnify and hold harmless Cognometrist and its personnel, affiliates, providers, and licensors from claims, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Services or Content or your breach of these Terms.

Copyright complaints

If you believe material on the Services infringes your copyright, email support@latentintuition.com with: your electronic or physical signature; identification of the copyrighted work; the location of the allegedly infringing material; your contact information; a statement of good-faith belief that the use is unauthorized; and a statement, under penalty of perjury, that the information is accurate and that you are authorized to act for the copyright owner. We may remove allegedly infringing material and terminate repeat infringers where appropriate.

Disputes and governing law

Before either party starts formal proceedings, the party raising a dispute should send a written notice to support@latentintuition.com and allow 60 days for informal resolution. To the extent permitted by law, California law governs these Terms, excluding its conflict of laws rules, and any claim that is not subject to a valid, enforceable arbitration agreement will be brought exclusively in the state or federal courts located in San Francisco, California.

Nothing in these Terms limits rights that cannot be waived under the law that applies to you. Any mandatory arbitration, class-action waiver, or consumer-dispute procedure must be set out in a separate, legally reviewed notice before it applies; Cognometrist does not adopt a third party’s arbitration terms by reference.

General terms

You may not assign these Terms without our written consent. We may assign our rights and obligations in connection with a merger, acquisition, reorganization, or sale of assets. Our failure to enforce a term is not a waiver. If part of these Terms is unenforceable, the remainder remains effective and the invalid part will be enforced to the maximum extent permitted by law.

You must comply with applicable trade, export-control, and sanctions laws. You may not use the Services in or for the benefit of a person, entity, or country where such use is prohibited. These Terms and any service-specific terms are the entire agreement between you and Cognometrist about the Services and replace prior agreements on that subject.

We may update these Terms as the Services, law, security requirements, or technology change. For a material change that adversely affects you, we will provide at least 30 days’ notice by email or in-product notice when reasonably practicable. Other changes take effect when posted. If you do not agree to a change, you must stop using the Services before it takes effect.
